1. Scope and Acceptance
These Terms of Service govern your access to and use of Trialant, a software-as-a-service platform operated by Durandal Labs. By accessing or using Trialant, creating an account, or placing an order for a paid plan, you agree to these Terms. If you use Trialant on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Our Services
Trialant helps users explore, analyse, and monitor publicly available clinical trial information, including data originating from ClinicalTrials.gov. Depending on your plan, the platform may provide advanced search, saved views, alerts, exports, collaboration features, and related analytics.
Unless expressly agreed otherwise in writing, Trialant is provided as an informational and workflow tool only. It does not provide medical advice, clinical advice, legal advice, or regulatory advice, and it is not a substitute for independent scientific, operational, or compliance review.
3. Accounts and Access
You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You must promptly notify us if you believe your account has been accessed without authorisation.
We may suspend or restrict access if reasonably necessary to protect the security, integrity, or availability of the service, to prevent abuse, or to comply with legal obligations.
4. Subscription, Orders, and Fees
Some parts of Trialant may be offered free of charge, while other features require a paid subscription or a separate commercial agreement. Fees, billing cycles, included usage limits, renewal terms, and any service-specific commitments are defined in the applicable checkout flow, order form, or other written agreement between you and us.
Unless otherwise stated in the applicable commercial terms, paid subscriptions renew automatically for successive terms and remain payable until cancelled. You are responsible for any applicable taxes, duties, or similar governmental charges, other than taxes based on our net income.
5. Customer Data and Inputs
You retain ownership of the data, filters, notes, exports, watchlists, and other materials that you submit to or create within Trialant ("Customer Data"). You grant us a limited, non-exclusive right to host, process, transmit, and display Customer Data solely as needed to operate, secure, support, and improve the service for you.
You are responsible for ensuring that you have all rights, permissions, and legal bases required to provide Customer Data to us and to instruct us to process it. You must not submit Customer Data that is unlawful, infringes third-party rights, or requires safeguards that we have not expressly agreed to provide.
6. Trial Data and Third-Party Sources
Trialant may display, structure, enrich, or analyse data obtained from third-party sources such as ClinicalTrials.gov. We do not own those third-party data sources, and we cannot guarantee that they are complete, current, or error-free at all times. Source data may change, be delayed, be corrected, or become unavailable without notice.
You are responsible for validating any outputs, exports, insights, or decisions derived from the service before relying on them for business, scientific, operational, medical, or regulatory purposes.
7. Acceptable Use
You may not use Trialant to, or in a way that would:
- violate applicable law, regulation, or third-party rights;
- interfere with, disrupt, probe, or circumvent the security or integrity of the service or related systems;
- reverse engineer, decompile, scrape at scale, or create a competing product using the service, except where such restriction is prohibited by law;
- upload malware, malicious code, or content intended to harm the platform or other users;
- share accounts improperly, bypass usage limits, or access the service other than through our supported interfaces; or
- use the service in a misleading way, including by misrepresenting the origin, integrity, or clinical relevance of any output.
8. Intellectual Property
As between you and us, we and our licensors retain all right, title, and interest in and to Trialant, including the software, data models, visualisations, documentation, trademarks, and all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no licence or right is transferred to you.
We may use feedback, suggestions, or ideas you choose to provide about Trialant without restriction or compensation, provided that doing so does not identify you or disclose your confidential information.
9. Confidentiality
If we receive non-public information from you that is reasonably understood to be confidential, we will use it only as needed to provide and support the service and protect it using reasonable safeguards. This obligation does not apply to information that is already public through no fault of ours, was lawfully known to us without restriction, is independently developed, or must be disclosed by law.
10. Privacy
Our processing of personal data is described in our Privacy Policy. By using Trialant, you acknowledge that we may process personal data as described there.
11. Suspension and Termination
You may stop using the service at any time. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, fail to pay applicable fees, create risk for the service or other users, or if suspension or termination is required by law.
Upon termination, your right to access the service ends immediately, but provisions that by their nature should survive termination will remain in effect, including those relating to intellectual property, confidentiality, disclaimers, limitations of liability, and payment obligations accrued before termination.
12. Disclaimers
To the maximum extent permitted by law, Trialantis provided "as is" and "as available". We do not warrant that the service will be uninterrupted, secure, error-free, or suitable for your specific use case, or that any dataset, output, or analysis will be complete, accurate, or fit for a particular purpose.
13. Limitation of Liability
To the maximum extent permitted by law, Durandal Labs and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunity arising out of or related to these Terms or your use of Trialant.
To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the service will not exceed the total fees you paid to us for the service during the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be excluded or limited.
14. Changes to the Service or Terms
We may update these Terms or change the service from time to time. If we make a material change, we will post the updated version on this page and update the version date above. Your continued use of the service after the updated Terms take effect constitutes acceptance of the revised Terms.
15. Governing Law and Contact
These Terms are governed by the substantive laws of Switzerland, excluding conflict-of-law rules. The courts of Basel-Stadt, Switzerland have exclusive jurisdiction, subject to any mandatory applicable law.
